1. Acceptance of these Terms
These Terms and Conditions (the "Terms") govern your access to and use of Channlworks websites, applications, SaaS platform, APIs, integrations, Model Context Protocol server, AI connectors and related services (collectively, the "Services").
In these Terms, "Channlworks," "we," "us," or "our" means Partner Growth Technologies Pte. Ltd. and its applicable contracting entity. "You" or "Customer" means the individual or organization accessing or using the Services. By accessing or using the Services, creating an account, connecting a third-party service or enabling an AI connector or MCP server, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you have a separate written agreement order form, data processing agreement or enterprise subscription agreement with Channlworks, that agreement will control to the extent of any conflict with these Terms.
2. The Services
Channlworks provides an AI-powered alliance discovery and partner management platform designed to help organizations discover partners, onboard and enable partner ecosystems, manage partner programs, collaborate on go-to-market activities and analyze partner performance. The Services may include websites, account workspaces, partner records, deal records, contact and company data, ecosystem relationships, program workflows, reports, dashboards, integrations, APIs, AI-assisted features and connectors to supported third-party tools. We may update, improve, add, remove or modify features from time to time. Some features may be provided as beta, preview, experimental or early-access functionality and may be subject to additional limits or terms.
3. Eligibility, accounts and authority
You must be legally able to enter into these Terms and must use the Services only for lawful business purposes. You are responsible for maintaining accurate account information, protecting your credentials and ensuring that only authorized users access your workspace. Workspace administrators are responsible for configuring user roles, permissions, connector access, OAuth authorizations, tool scopes and other account settings. You are responsible for activity conducted under your account or by users you authorize. You must promptly notify Channlworks if you believe your account, credentials, tokens or connected services have been compromised.
4. MCP server and AI connector terms
Channlworks may make available a remote Model Context Protocol server and related AI connectors (the "MCP Server") that allow supported AI clients, agents, assistants or platforms ("AI Clients") to interact with Channlworks on behalf of authorized users.
When you enable or use the MCP Server, you authorize Channlworks to receive tool requests, prompts, parameters and related context from the AI Client; process those requests through Channlworks; return responsive data or tool results to the AI Client; and, where a tool supports an action, perform the requested action within the permissions and configuration of your account.
The data available through the MCP Server may include Channlworks data such as deals, contacts, companies, partner records, ecosystem relationships, programs, tasks, notes, activity records, reports and related business records, depending on your account permissions, tool configuration and enabled scopes. Some MCP tools may be read-only, while others may create, update, delete, send, schedule, publish, trigger workflows or otherwise change records or system state. You are responsible for reviewing prompts, tool calls, approvals and action confirmations before allowing or initiating any action. AI Clients are third-party services that Channlworks does not control. Your use of an AI Client is governed by the AI Client provider's own terms, privacy notices, data controls, security practices and usage policies. Channlworks is not responsible for AI Client outputs, model behavior, availability or handling of data outside Channlworks systems.
AI-generated responses and tool outputs may be incomplete, delayed, inaccurate or based on the information available to the AI Client and Channlworks at the time of the request. You should independently verify important information before relying on it, especially before making business, financial, legal, compliance, employment, security or operational decisions. Unless otherwise stated in a written agreement or published policy, Channlworks does not use Customer Data accessed through the MCP Server for advertising or to train general-purpose AI models. This statement does not govern how a third-party AI Client may process data under its own terms.
5. Customer Data and privacy
"Customer Data" means data, content, records, files, prompts, instructions, credentials, configurations and other information that you or your authorized users submit to, upload to, connect with or make available through the Services. You retain ownership of Customer Data. You grant Channlworks a limited right to host, process, transmit, display, modify and use Customer Data as necessary to provide, secure, support, maintain, troubleshoot and improve the Services; comply with law; enforce these Terms; and fulfill any instructions you provide. You are responsible for ensuring that you have all rights, notices, permissions, consents and lawful bases necessary to provide Customer Data to Channlworks and to connect Channlworks to third-party systems, including AI Clients, email, calendar, CRM, collaboration, data enrichment, cloud or identity systems. Our collection and use of personal information is described in the Channlworks Privacy Policy. If these Terms conflict with the Privacy Policy regarding privacy practices, the Privacy Policy controls for that subject matter. Do not submit regulated, highly sensitive or special-category data to the Services or MCP Server unless your agreement with Channlworks permits it and you have implemented appropriate safeguards.
6. Third-party services and integrations
The Services may interoperate with third-party services such as identity providers, AI Clients, cloud providers, email and calendar services, data providers, CRM systems, collaboration tools and other applications. Third-party services are not controlled by Channlworks and may be subject to their own terms, privacy policies, fees, rate limits, availability, security practices and data processing rules. You are responsible for reviewing and complying with third-party terms before enabling integrations. Channlworks is not liable for third-party services or for data processing that occurs outside Channlworks systems.
7. Acceptable use
You may use the Services only in compliance with these Terms, applicable laws and any documentation, usage limits or policies that Channlworks makes available. You must not use the Services to: (a) violate laws or third-party rights; (b) transmit malware, harmful code or unauthorized scraping instructions; (c) attempt to gain unauthorized access to Channlworks, third-party systems or other users' data; (d) interfere with service integrity, security or availability; (e) bypass technical limits, rate limits, permissions or access controls; (f) upload or process data you are not authorized to use; (g) use the Services for spam, phishing, deception, harassment, discrimination or unlawful surveillance; (h) reverse engineer, copy, resell or exploit the Services except as permitted by law or a written agreement; or (i) use AI-assisted features or MCP tools to create harmful, misleading, malicious or unauthorized actions. You must not intentionally craft prompts, tool calls, schemas or connector configurations that cause Channlworks or an AI Client to expose secrets, credentials, personal data, confidential information or other data beyond the intended permissions and user request.
8. Security and responsible connector use
You are responsible for configuring least-privilege access, reviewing connector permissions, protecting API keys, OAuth tokens and credentials and disabling access when it is no longer needed. If your workspace uses MCP tools or AI connectors, you should review tool names, descriptions, input parameters, output data, authorization scopes, read/write capabilities and action confirmations before enabling them for users.
Channlworks may suspend or restrict access to the Services, integrations or MCP Server if we reasonably believe there is a security risk, misuse, legal risk, policy violation or activity that may harm Channlworks, users, third parties or service integrity.
9. Fees, subscriptions and payment
Fees, subscription terms, usage limits, billing cycles, taxes, renewal terms and payment obligations are governed by the applicable order form, subscription plan, invoice or written agreement between you and Channlworks. Unless stated otherwise in writing, fees are non-refundable except where required by law or expressly stated in the applicable agreement. If you exceed applicable usage limits or enable additional paid features, Channlworks may charge additional fees or require you to upgrade your plan.
10. Intellectual property
Channlworks and its licensors own all rights, title and interest in the Services, including software, interfaces, workflows, AI-assisted features, designs, documentation, templates, data models, analytics, know-how and other technology, excluding Customer Data. Subject to these Terms and your applicable subscription, Channlworks grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. You may provide feedback, suggestions or ideas regarding the Services. Channlworks may use feedback without restriction or obligation to you, provided we do not disclose your confidential Customer Data in doing so.
11. Confidentiality
Each party may receive non-public information from the other that is marked confidential or should reasonably be understood as confidential. Each party will use the other party's confidential information only to perform under these Terms or an applicable agreement and will protect it using reasonable care. Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, lawfully received from a third party without confidentiality obligations or required to be disclosed by law after reasonable notice where legally permitted.
12. Service availability, support and changes
Channlworks aims to provide reliable Services but does not guarantee uninterrupted, error-free or fully secure operation. The Services may be unavailable due to maintenance, updates, network issues, third-party service failures, incidents or events beyond our reasonable control. We may provide support through the channels, response targets and service levels described in your applicable plan or written agreement. Channlworks may update documentation, APIs, integrations and MCP tools from time to time.
Where changes could materially affect your use of the Services, Channlworks will use reasonable efforts to provide notice through the Services, website, email, documentation, release notes or account communication.
13. Termination
You may stop using the Services at any time. Subscription termination, non-renewal, data export and data deletion rights are governed by the applicable order form, plan terms, written agreement and Privacy Policy. Channlworks may suspend or terminate access if you materially breach these Terms, fail to pay fees when due, create a security or legal risk, misuse the Services or if continued service provision would violate law or third-party rights. Upon termination, your right to access and use the Services will cease, but provisions that by their nature should survive will continue, including payment obligations, confidentiality, intellectual property, disclaimers, limitations of liability, indemnity and dispute provisions.
14. Disclaimers
To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis. Channlworks disclaims all warranties, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy and error-free operation.
Channlworks does not warrant that AI-assisted features, MCP tools, third-party AI Clients, partner recommendations, data enrichment, analytics or generated outputs will be accurate, complete, suitable or free from bias, hallucination or error. You are responsible for reviewing outputs and decisions before acting on them. The Services are not intended to provide legal, financial, medical, tax, security, compliance or other professional advice. You should consult qualified professionals before relying on the Services for such purposes.
15. Limitation of liability
To the fullest extent permitted by law, Channlworks will not be liable for indirect, incidental, special, consequential, exemplary, punitive or enhanced damages or for lost profits, lost revenue, lost business, loss of goodwill, loss of data, business interruption or cost of substitute services, even if advised of the possibility of such damages. To the fullest extent permitted by law, Channlworks' total aggregate liability arising out of or relating to these Terms or the Services will not exceed the amounts paid by you to Channlworks for the Services giving rise to the claim during the twelve (12) months before the event giving rise to liability or USD 100 if you use the Services without payment. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
16. Indemnification
You will defend, indemnify and hold harmless Channlworks, its affiliates, officers, directors, employees, agents and licensors from and against claims, damages, liabilities, losses, costs and expenses, including reasonable legal fees, arising from: (a) your use or misuse of the Services; (b) Customer Data; (c) your breach of these Terms; (d) your violation of law or third-party rights; or (e) your configuration or use of third-party services, AI Clients, MCP tools or integrations. Channlworks will promptly notify you of any claim for which it seeks indemnification, allow you reasonable control of the defense and cooperate at your expense. You may not settle a claim in a way that imposes obligations on Channlworks or admits fault by Channlworks without our prior written consent.
17. Governing law and disputes
Unless a separate written agreement states otherwise, these Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. Unless a separate written agreement states otherwise, the courts of Singapore will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services. Before filing a formal claim, the parties will use reasonable efforts to resolve the dispute through good-faith discussions.
18. Changes to these Terms
Channlworks may update these Terms from time to time. When we make material changes, we will use reasonable efforts to notify you by posting the updated Terms on our website, through the Services, by email or by other reasonable means.
The updated Terms will become effective on the date stated at the top of the page, unless a different effective date is provided. Your continued use of the Services after the effective date means you accept the updated Terms.
